TERMS AND CONDITIONS OF EBOXSHOP

FOR BUSINESS CLIENTS AND INSTITUTIONS

1. General provisions

1.1. The online store at www.eboxshop.pl and www.sklep.boxshop.pl is operated by Universal Express Relocations Sp. z o. o. with a registered office in Warsaw, address: ul. 17 Stycznia 45b, 02-146 Warsaw, registered in the District Court for the Capital City of Warsaw, Economic Division no. 13 at the National Court Register, KRS no.: 0000037926, NIP no.: 522-23-55-172, initial capital: PLN 100,000.00 [the Seller].

1.2. All orders placed by business clients and institutions, i.e. non-consumer customers [Buyers], are accepted by the Seller pursuant to conditions specified in this document.

1.3. Descriptions, photographs, etc. are not a part of the sales agreement and are used only for overall presentation of goods.

1.4. The Seller reserves the right to withhold the sale of any or all goods without prior notice, and to implement changes for the purpose of goods improvement projects.

1.5. The prices and goods listed at www.eboxshop.pl and www.sklep.boxshop.pl shall not constitute an offer according to civil law, but an invitation to conclude an agreement.

1.6. A sales agreement is concluded upon order confirmation by the Seller.

1.7. By placing an order at eBoxShop the Buyer hereby accepts these terms and conditions as an integral part of the agreement.

1. Prices

2.1. All prices are in Polish Zlotys and are given as net and gross values (pursuant to the current rate of value added tax).

2.2. The prices do not include shipping costs, unless the Seller explicitly stated otherwise.

2.3. The price includes the costs of a pallet that might be included by the Seller.

2.4. The Seller will make every effort to ensure that prices shown at www.eboxshop.pl and www.sklep.boxshop.pl remain at the same level, subject to a possible change without prior notice. Upon order confirmation by the Seller, the previously agreed price will be honoured.

III. Orders

3.1. If the Buyer withdraws an order, the Seller can charge the Buyer for all costs borne until the withdrawal of the order.

3.2. Where justified by objective reasons, the Seller can refuse to conclude an agreement with a specific natural person, legal person or an organisation.

3.3. Moreover, where justified by objective reasons, the Seller can refuse to accept an order, whether the payment was made or not, by notifying the Buyer by e-mail, fax or telephone that the order was not accepted, within 24 hours from the receipt of the order (excluding weekends and holidays). In such an event, the Seller will refund the costs paid by the Buyer.

1. Payment

4.1. The Buyer shall pay all amounts due to the Seller with regard to the purchased goods as a prepayment, unless the Parties agreed otherwise.

4.2. Payment shall be made on request, by bank transfer or credit card or debit card.

1. Delivery

5.1. An order shall be deemed completed upon handing over of goods to the Buyer in front of the building in accordance with the delivery address. Any delivery inside the building depends on the good will and is at the discretion and risk of the supplier.

5.2. Orders placed and paid for before 1:00 pm on a working day will usually be delivered to main Polish cities the next day. In other locations, orders will usually be delivered within 3 working days. The Seller does not guarantee the above delivery times, but the past experience with the courier company confirms that the dates are observed.

5.3. Shipping is free of charge for orders above PLN 200.00 net + VAT (pursuant to the current rate). For orders below that amount the charge is PLN 20.00 net + VAT (pursuant to the current rate).

5.4. Enquiries concerning goods for which invoices were issued, but which have not been delivered yet, should include the invoice number.

5.5. The Buyer should examine the goods after receipt and note any deficiencies or damage on the delivery note. The Buyer shall notify the Seller about any objections concerning the goods or services in writing, within 7 days from the date of delivery.

5.6. In the event the Buyer does not undertake the above steps, the Seller may accept that the goods were delivered in conformity with the agreement and without any reservations that could have been voiced in the case of careful examination of goods by the Buyer.

1. Amount

In the case of goods that are difficult to count, the Seller does not guarantee the exact unit amount of the delivered goods.

VII. Pallets

Upon delivery, pallets used for shipping are the property of the Buyer and remain at the Buyer’s disposal and responsibility.

VIII. Risk

The parties state that the risk concerning goods is transferred to the Buyer upon handing over of goods to the forwarder for delivery.

1. Limitation of liability

9.1. The parties hereby indemnify the Seller against warranties.

9.2. The Buyer is responsible for verifying that the purchased goods can be used for the purpose stated by the Buyer.

9.3. The Seller is not responsible for how and for which purpose the goods are used by the Buyer, whether it conforms with the Buyer’s needs or not.

9.4. The Seller’s liability under the concluded agreement or connected with its execution cannot exceed the price of the ordered goods, provided that the damage does not derive from the Seller’s fault or gross negligence.

9.5. The Seller is not liable and shall not be penalised for any delay in agreement execution or failure to perform contractual provisions or the Seller’s other obligations pertaining to the purchased goods in any way, provided that the said delay or failure results from factors beyond the Seller’s control (force majeure).

1. Protection of personal data
2. The personal data collected at www.sklep.boxshop.pl is administrated by Universal Express Relocations Sp. z o. o. with a registered office in Warsaw (address: ul. 17 Stycznia 45b, 02-146 Warsaw). Provision of personal data is voluntary, but necessary for order execution. Personal data is used only for order execution and will not be shared with other entities. Upon your agreement, personal data will also be used to inform you about new products, services and special offers provided by the Store. Customers have the right to access their personal data and rectify it.
3. Final provisions

10.1. These terms and conditions of sale were drawn up and shall be interpreted in accordance with the Polish law.

10.2. All disputes are subject to the jurisdiction of the court of venue for the Seller’s seat.

10.3. The terms and conditions apply with regard to agreements made on or after 01.03.2016.
